Closing a Cambodia property sale and transferring the right
An operational route after offer acceptance, separating contract, money, possession and registration so neither party relies on an undefined “everything happens together”.

After an offer is accepted, the parties should separately agree due diligence, contract, deposit, completion conditions, distribution of funds, delivery of keys and possession, filing and evidence of registration outcome.
The central mistake is assuming that full payment, handover and registration automatically occur at one moment. Each step needs an owner, deadline, evidence and consequence of non-performance.
Confirm the transaction route first
A registered resale transfers an existing property right. An assignment transfers a contractual position before final title. A company seller, power of attorney, buyer finance or existing security adds separate conditions.
State the route and key asset to be transferred in the term sheet or offer summary. If that remains unknown, the deposit mechanics and completion date cannot be finalised responsibly.
Reconcile the seller, asset and payment recipient. Where names or payment details differ, document the connection before a material transfer.
From offer to agreed terms
Record the asset, parties, price, currency, deposit, review period, seller documents, conditions to completion, cost allocation, settlement date, possession and consequences of non-performance. This helps agree the structure but is not the sale agreement.
Close due diligence before settlement
Before the main funds move, record the result on title, seller and signatory, encumbrances, arrears, condition, tenancy, document set and registration. Each open point must be resolved, accepted subject to a condition, protected by retention or treated as a reason not to complete.
Closing statement: one version of the money
Put the price, deposit, balance, tax, fees, debt repayment, clearances, retentions, bank charges, recipients and timing in one statement. The agreement, payment instructions and receipts must reconcile.
Control of funds and documents
State who holds the deposit and originals, who may instruct release and which evidence triggers payment. Where a third party is used, all participants should understand the role and limitations.
Do not release the full price before buyer-protection conditions are satisfied unless the risk is expressly accepted and documented. At the same time, the seller should not release originals and full control without clear payment evidence.
Use a completion checklist confirming each event rather than one general “paid” status.
Handover and possession
The possession record should state date and time, condition, inclusions, keys and cards, meters, building documents, tenant and deposit, open defects and responsibility. Access to the unit is not automatically registration or final settlement.
Filing, registration and post-completion control
Record who files, with which authority, which originals were delivered, evidence of filing, responsibility for queries and when the registered result will be released. Until then, retain the link among the agreement, payments, possession and registration file.
Remote sale and a financed buyer
For a remote sale, confirm the power-of-attorney form, any legalisation or other formalities, authority to sign, receive funds, deliver originals and file documents. Do not use broad authority merely because it is easier to draft.
For a financed buyer, reconcile lender conditions with the seller contract. Bank valuation, approval, security, drawdown and registration may create additional dependencies.
Create a fallback plan for delayed finance, unavailable representative, late original or a bank transfer held for further review.
What to keep after completion
Both parties retain signed agreements, the closing statement, payment evidence, handover records, clearance, releases, filing evidence and final result. Sensitive records should be stored securely rather than left in shared chats.
The seller closes or transfers utility and management accounts, revokes agent and contractor access, updates insurance and retains evidence for banking and tax questions.
The buyer verifies access, building payments, utility details, tenancy, inventory, warranties and the next-obligation calendar. Good completion does not end with a key; it leaves an understandable operational handover.
Parties and authority
Before the term sheet, match the seller to the title or SPA and verify identity, personal or corporate status, representative and payment recipient. A company needs current corporate records and approval; a representative needs a transaction-specific power of attorney accepted by the participants.
Authority to sign, receive a deposit, change price, release an original and receive funds may differ. Do not infer one power from another without the document.
Title and registry on the transaction date
A title copy is useful, but before irreversible payment the current owner, unit identifier, area, use, encumbrances and selected transfer route should be verified. For a foreign buyer, the private-unit route and quota must be checked where relevant.
Project, unit, floor, area and name should match. Differences should be corrected before closing or placed into a defined correction process.
Conditions to completion
For every condition, state the required evidence, responsible party, deadline, completion standard, approver and consequence of failure. Do not close a condition through a verbal update where the agreement requires a record.
Deposit and payment recipient
The document should identify the deposit recipient, retention basis, refund, application to price, restrictions on use and receipt. Payment to an agent or third party requires clear authority and confirmation that the buyer’s obligation to the seller is discharged.
A large irreversible payment before title, clearance and authority increases risk. A deposit does not replace verification or make an unverified transaction safe.
Tax, clearances and the registration pack
Check the applicable tax, taxpayer, base, deadline and payment evidence at the transaction date. Assemble building and utility clearances separately from the complete registration set. A preliminary calculation is not an official clearance or filing receipt.
Remote sale
A remote owner should define authority for buyer approval, signing, deposit, originals, payment direction, price changes and closing statement. Set the minimum net price, permitted deductions, expiry, reporting and bank-detail controls.
Confirm form, translation, notarisation, legalisation and original requirements with the registry, bank and other participants. A PDF may work for negotiation and fail for registration.
Completion-day sequence
Before the meeting, confirm identity, authority, originals, figures, bank details and conditions. Sign the agreed set, execute payments in the specified order, exchange documents and keys only when the corresponding conditions occur, and create immediate evidence of every step.
Evidence after completion
The final file should connect the signed agreement, closing statement, bank evidence, tax and arrears receipts, possession record, registration filing and registered result. The seller retains evidence of full settlement; the buyer retains evidence of the transferred right and possession.
