Thai SEC consulted on further amendments to takeover regulations
The proposals focus on disclosures before an offer and on exemption mechanics
The SEC proposed a new Form 247-3 filing obligation where a potential acquirer makes a conditional public announcement about a takeover. The aim is to give the target company, its shareholders and other investors a formal record of the conditions that must be met before a tender offer proceeds. The same package would remove the Form 247-3 requirement for a tender offer made specifically to delist securities.
A second part of the consultation dealt with partial tender offers. The regulator sought clearer rules for calculating shares that could arise from the exercise or conversion of convertible securities and for counting shareholder votes when a party applies for a waiver to make a partial offer.
The paper also proposed fixed timing for an exemption based on reducing a holding or control position. Under the proposal, the relevant shareholding or control would have to be reduced within seven business days from the acquisition, while Form 246-2 would be due within three business days from acquiring the shares or control. Those figures describe the May proposal and should not be read as proof that a new deadline was already in force.

The May hearing closed, while the later capital-market bills follow a separate track
Comments on the consultation were accepted until June 10. As of October 5, the official material used for this article does not establish an effective date for these specific May amendments.
Thailand did move forward with a broader set of capital-market bills later in the year. On September 23, the House of Representatives accepted four draft laws in principle, and the SEC said the package includes an expansion of takeover provisions to trusts. That legislative process is separate from the May consultation and was still proceeding through Parliament, so it does not by itself convert the consultation proposals into operative takeover rules.
For most retail property buyers, the consultation has no direct effect. Its relevance is concentrated among listed-company investors, controlling shareholders, business owners and transaction parties whose acquisitions may cross reporting or mandatory-offer thresholds. In those cases, the governing rule is the regulation actually in force when the transaction occurs, together with the facts of the ownership and control structure.
