Thailand’s SEC put the SPV securitization law under review

Event date

The review focused on whether the 1997 framework still works

Thai law requires periodic effectiveness reviews of legislation. The SEC said the SPV framework had reached its 2026 review cycle and invited feedback on the law itself and the regulations built around it.

The consultation went beyond a general request for opinions. It asked whether the rules for securitized bond offerings remain effective, whether the existing approval and enforcement structure is appropriate, and whether some provisions should be adjusted, including the SEC’s discretion over amendments to approved securitization projects and the limitation period under the decree.

The regulator said the feedback would help determine whether revisions are needed. That wording matters: the May exercise did not give businesses a new financing entitlement or change the legal treatment of a transaction simply because the review had begun.

Property income is only one possible pool of cash flows

Securitization turns cash-generating assets into securities through a special purpose vehicle. The underlying cash flows are then used to service investors. In its explanation, the SEC cited rental income from real estate alongside credit-card receivables and future receivables as examples of assets that may support such a structure.

That makes the review relevant to larger property owners, operating businesses and capital-markets participants, but it should not be confused with ordinary mortgage finance or a routine property acquisition. A landlord with rental income does not automatically have a securitization structure; scale, legal separation of assets, documentation, investor disclosure and transaction costs still matter.
