Bali property due diligence

Good due diligence does not search for a magic word such as ‘safe’. It creates one evidence file, shows what relates to the asset, what is absent and which question should stop the next payment.

How do you review an asset when you have an offer but not confidence in the records?

Do not start with one hundred disconnected questions. First define a single review subject: exact address, precise description of what transfers, current terms and the intended use. Then build an evidence chain, not a collection of PDFs.

The short answer

Check five links: asset ↔ address; right ↔ current holder; contract party ↔ authority; building ↔ records and function; every payment ↔ condition and evidence. A break in any link is not a reason to argue with a seller; it is a reason to request the record or pause the commitment.

Geography
Indonesia and Bali; an asset conclusion requires address-specific and document-specific review.
Established
  • National rules distinguish rights/registration and building records.
  • PBG and SLF are distinct elements of the building-record system.
  • Bali digital planning information does not replace official records.
Not established
  • Clear title, value, approval, safety or suitability of a particular asset.
  • An individual legal, tax or technical conclusion.

1. One transaction, one review file

Do not create a ‘Bali’ folder; create a folder for one asset. Its cover sheet should carry the address, coordinates, description of what transfers, offer date and version, intended use and party list. Any document without a connection to those facts should be marked unverified, not assumed to belong to the deal.

This looks formal until chat messages contain different areas, parcel references, payees or completion dates. Review begins when those versions stop living in parallel.

2. Build the chain: right, holder, signatory, payee

Indonesia’s basic agrarian framework distinguishes land rights and places registration at the centre of the evidence system. Government Regulation No. 18 of 2021 separately describes a foreigner-residence framework. These sources do not decide an individual asset, but they explain why a sales label cannot substitute for a right category.

On one sheet, reconcile the underlying right, current holder, contract party, signatory and recipient of every payment. The roles do not have to be identical. Every difference does need a documentary explanation. PPAT is connected to deeds used for registration changes, so the chain should not end with an oral assurance.

3. Collect address, building and use separately

This is where a false conclusion is easy: there is an asset, so it can be used as the offer says. In practice, separate spatial records for the address, building records and intended activity. TARUBALI can help find relevant plans, but it expressly warns that digital information and maps do not replace official records.

Government Regulation No. 16 of 2021 connects building function and classification with PBG, SLF and SBKBG. SIMBG describes PBG and SLF as distinct building-administration records. A photograph, map or ‘rental ready’ promise therefore does not automatically answer the question of building function or permitted operation.

4. The agreement and money must point to the same reality

Check that the asset description, parties, amount, currency, stages and default consequences match across the offer, draft agreement and payment schedule. If a document names a future result — an asset, registration, approval or handover — identify what evidence will confirm it before the next payment.

Government Regulation No. 34 of 2016 covers certain rights-transfer events and related agreements. It does not allow a tax liability to be assigned from one offer line, but it confirms that transaction money and records cannot be assessed separately. An actual calculation needs the transaction facts and a separate review.

5. A red flag is not a verdict; it is a specific request

A red flag is not ‘something feels wrong’. It is a specific break: the agreement address differs from the offer; the right holder is not connected to the signatory; the payee is unexplained; the building is described with one function but sold with another; a key record is promised only after a deposit.

Each break should produce one next step: request the record, clarify its link to the asset, make it a contract condition or pause the payment. Do not compensate for missing evidence with a larger quantity of attractive materials.

6. End with a decision memo, not a PDF folder

Before reservation or a material payment, write a short conclusion: what is confirmed, what is unconfirmed, who is responsible for every missing record, which conditions must enter the agreement and what is a stop signal. It does not need to be long. Its value is that every next step can be tested against it.

When an answer to a key question is absent, the correct conclusion is not ‘there is no risk’ but ‘the decision is not ready’. That protects time and money better than trying to make an asset clear before the necessary records exist.

Decision steps

  1. Define the review subject

Fix the address, asset, offer version, parties and intended use.

  2. Build the evidence chain

Connect the right, holder, signatory, payee, building and address to supporting records.

  3. Assign the open questions

For every break, name the record, responsible party, deadline and stop signal.

  4. Decide before payment

Write a short memo: confirmed, unconfirmed, contract condition, stop signal.

What to check

0 / 5

Why it matters
Otherwise individual records cannot form an evidence chain.
Why it matters
A sales label does not identify the holder or right type.
Why it matters
An asset right is not permitted operation.
Why it matters
Money should not move faster than the records.
Why it matters
Without a stop signal, missing evidence turns into a habit.
Personal preparation notes, not confirmation of legal review.

FAQ

Is it enough to receive many documents?

No. Records must connect to one asset, address, transaction version and specific question. A large PDF count does not replace an evidence chain.

Can the seller's lawyer perform an independent review?

Independence and the review scope need to be defined upfront. An independent reviewer needs the full file and should separate what is confirmed, open and outside the available evidence.

Are different party names an automatic rejection?

Not automatically. It is a question requiring a documentary explanation of the link between right holder, contract party, signatory and payee before payment.

Does an existing PBG or SLF close the whole review?

No. It belongs to one layer of building records. Right, parties, address, intended use, agreement and payments remain separate questions.

When should a transaction be paused?

When a key question about the subject, authority, address, building record, use scenario or next payment lacks an answer. A pause is a way to obtain evidence before commitment, not an accusation against a party.
