Can You Recover a Bali Off-Plan Villa Reservation Fee?
Published · Updated
What does your first off-plan payment actually commit you to?
A sales message may say that a particular villa is yours once the reservation payment arrives. That sounds like a temporary hold on inventory, yet the document attached to the payment can do more than reserve a price. It might set a deadline for signing, allow the seller to retain money in specified circumstances, or treat the amount as the first part of the purchase price. The words booking fee and deposit cannot settle any of those questions on their own.
Consider a buyer who wires the requested amount on Monday and receives an adverse report from independent counsel the following week. The land records or permit information may not match the sales pack, but no principal lease or construction contract has been signed. Does the buyer still have a contractual route out? That turns on the reservation terms already accepted and on whether satisfactory due diligence was made a condition of proceeding. An unsigned main contract does not necessarily erase an earlier obligation created by a booking form or payment confirmation.
Pronoia, Villa Jūra and DOMA provide useful contrasts because they disclose different things about this first step. One publishes an express full-refund promise under a named programme, another publishes a percentage at the start of its payment schedule, and the third describes a review period after reserving. None of those details is a general Bali rule. The buyer still needs the relevant document, responsible entity and covered events.
Pronoia, Villa Jūra and DOMA: three very different public promises
Pronoia's Reserve & Stay programme is the clearest of the three on its public refund statement. The offer calls for a USD 50,000 reservation deposit to secure a chosen villa and its current price. It says that a purchaser who goes ahead has the amount credited to the price, while someone who decides not to buy receives it back in full. The programme includes seven complimentary nights in an operational Phase 1 villa, with an opportunity to view the estate, building site and documents. The public page does not identify the refund obligor, transfer deadline or pre-visit cancellation rules.
There are two properties in that experience, potentially with very different completion status. The accommodation is in the finished phase; Pronoia's current sales release, as described on its ownership page, includes off-plan villas. Before funding the programme, the buyer needs its written terms tied to the chosen off-plan unit and clarity on how the public full-refund promise applies if diligence fails before travel, the stay cannot be arranged or the intended unit changes.
Villa Jūra by AJA Developments publishes 2% as the initial deposit, followed in its standard schedule by 33% on the main contract. Its process begins with a reservation agreement, and the website describes a notary escrow arrangement for payments made after signing and released against verified construction progress. It does not display an independent cancellation and refund clause for the opening 2%, nor establish that this initial amount is held on the same escrow terms as subsequent construction instalments. Neither outcome follows from the published page.
DOMA's published process says the deposit holds the unit and price and provides seven days to review the contract. The staged-payment glossary does not state the opening deposit amount or say whether an unsatisfactory review triggers repayment. The homepage describes sending the SPA and project documentation in connection with reservation; its due-diligence glossary and more recent FAQ describe substantial legal checking before the deposit. The pages may describe different review stages or projects; neither supplies an executed contract. For the villa actually being offered, the seller should identify the precise ordering of document delivery, payment, review and any cancellation right. This comparison reflects publicly available descriptions checked on 19 October 2026, not access to individual purchasers' signed forms.

Why a 2% deposit, a seven-day review and escrow protect different things
The 2% published for Villa Jūra tells a buyer how large the opening transfer is relative to the advertised price. It does not tell them what happens to the transfer if they decline to sign the next agreement. Its credit, fee and forfeiture treatment must come from the contract. The 2%-then-33% schedule fixes payment order, not the cost of withdrawal. The accepted reservation agreement would need to address those consequences explicitly.
Escrow is a separate question again. Villa Jūra says that after signing, payments go into a notary escrow account and are released once construction milestones have been certified. That mechanism is described in relation to the money used to fund building progress. It is unclear whether the opening 2% reaches that account or is credited later. Even confirmed escrow custody would not, without its governing instructions, specify the person entitled to demand a refund or the circumstances in which the holder may release the funds back to the buyer.
DOMA's seven-day review window should be read just as precisely. A review period gives someone time to inspect terms; it does not by itself grant a cooling-off right, waive a cancellation charge or impose a seven-day deadline for repayment. It is also unclear when review begins if material arrives late. Land, permits and counterparties may take longer to verify. The important drafting point is the agreed remedy if required documents are not delivered or if the findings are unacceptable, including any extension and the form of notice.
Pronoia's seven-day reference belongs to a different part of the transaction altogether: the stay is seven nights in a completed Phase 1 villa. It is not an advertised seven-day legal review or repayment timeline. Reserve & Stay expressly offers the buyer a decision after experiencing the property and, on the ownership page, describes the deposit as refundable if the buyer decides against proceeding after the stay. That leaves several pre-stay questions for the written programme terms: what if the buyer cannot travel, decides against the deal after reviewing documents first, or is no longer offered the reserved off-plan villa?
Indonesia's Government Regulation No. 12 of 2021 provides a relevant but narrower statutory comparison. Within its housing-sale PPJB framework, Article 22K requires prospective buyers to have at least seven working days to study the PPJB before signing. Article 22J includes cancellation and termination among the required contract subjects, while Article 22H deals with specified cancellations and repayment during the marketing stage for covered houses. They concern defined housing transactions, not every foreign-owned villa investment. A land lease, a building contract and a coordination agreement may form a transaction with different legal characteristics; calling one of them an SPA does not establish statutory PPJB coverage. Eligibility must be assessed from the actual documents, parties and property, so DOMA's commercial seven days should not be equated with Article 22K's seven working days.
Your cancellation point changes the documents and the next move
A buyer's position changes as documents and payments accumulate. Before sending any money, the decision is whether to accept the reservation offer as drafted. Once a booking payment is made, a standalone reservation contract may already bind the parties, even though the main lease or construction contract remains unsigned. The next signing can change the fate of the deposit: the amount may be credited to the price, governed by amended termination terms or remain subject to a surviving booking clause. When construction instalments start, the dispute may concern work already certified and funds released to contractors, not merely the original hold on a unit.
There is also more than one meaning of “I want to cancel.” A buyer who has simply changed plans is not necessarily in the same contractual position as someone invoking an agreed adverse-diligence condition. Nor is either case identical to a developer withdrawing an agreed unit, changing the reserved price or failing to perform. Some clauses distinguish the parties' responsibility; others require notice within a specific window, identify the evidence needed for a refund or set a separate cure period.
One common source of confusion arises when the reservation is rolled into the principal agreement. A receipt showing that a booking deposit reduced the amount due at signing is useful accounting evidence, but it does not answer whether earlier termination rights have survived, been replaced or expired. At the milestone-payment stage, signed acceptance records and release instructions become relevant as well. The four routes below therefore identify the controlling paperwork and next question; they do not classify a payment as automatically refundable or lost.
Additional context: decision Helper
The payee, voluntary-cancellation terms and response to adverse diligence may still be undefined.
The absence of a main agreement does not mean the booking obligations never took effect.
The first payment may have changed legal character; the initial receipt alone cannot show how.
Money may already relate to delivered work; housing PPJB remedies need a transaction-specific applicability assessment.
The written terms to obtain before sending a reservation payment
Before a bank transfer, the paperwork should connect one identified villa, one booking obligation, the recipient account and an enforceable exit procedure. The reservation agreement should name the legal parties and the exact unit, establish the held price and expiry date, and state when the reservation takes effect. It also needs to distinguish a booking charge from a sum credited towards the principal price. A “refundable deposit” clause should say whether a simple written refusal is enough, or whether an adverse legal report, seller default or prompt notice is required.
Timing has to work with the due-diligence package. Seven days to read a complete contract is different from seven days to investigate land title, zoning, permits and a counterparty whose documents have not yet been supplied. A clearly drafted condition can define when the review period begins, what must be delivered, how a deficiency is notified and whether the deadline is suspended while missing material is supplied. It can also specify whether unacceptable findings permit termination with a refund, instead of leaving the parties to argue after the reservation has expired.
The entity receiving the money may not be the entity selling or building the villa. A landowner, development company, general contractor, project coordinator and estate manager can legitimately perform different roles in a structured transaction. Nevertheless, paying an intermediary creates a practical evidence gap unless written authorisation shows it may receive the amount for the reservation counterparty. The receipt should identify what debt the payment satisfies, while the agreement identifies who must repay it if a refund is due. If a notary escrow is proposed, separate instructions must confirm that it covers the initial booking sum, identify the holder and set out the buyer's rights if the transaction stops.
Repayment mechanics deserve the same care as the trigger. Does “in full” refer to the original face amount, and who bears transfer charges or currency conversion? Is money returned to the source account or another account after identity checks? What document starts the repayment clock, and how many days are allowed? Those details might look administrative when the sales conversation is friendly, but they become the entire practical question after a cancellation. Finally, the booking document should explain how the first amount is credited once a lease, SPA or construction contract is executed, and whether it is replaced by new termination terms. A brochure may evidence the sales promise; it is not a substitute for identifying its contractual obligor.

If the reservation is already paid and the deal falls apart
Start with the reason the reservation failed, not with an assumption that every deposit behaves alike. A voluntary buyer withdrawal may fall under a different clause from an adverse legal report delivered within an agreed diligence period. Seller-initiated substitution of the unit, a change in the reserved price, or a refusal to supply promised documents raises other questions. If the developer is late or in breach, the relevant delivery commitments and any contractual opportunity to remedy the default come into play.
A useful record follows the money and the chronology. Keep the version of the booking conditions in force when the payment was authorised, the transfer advice showing the account holder and reference, and any written acceptance of the selected villa and price. Add the documents actually supplied for independent review, requests for missing material, any change notices and the dates of responses. If termination is being invoked, the notice should identify the specific ground and travel through the delivery channel required by the agreement. Telling an agent informally may help establish the history but may not satisfy a notice clause addressed to another legal party.
If repayment is refused, the next document to request is the counterparty's written basis for retention, with the clause and event it relies on. A signed main agreement may have replaced an earlier reservation promise or altered the allocation of payments. Conversely, a preserved screenshot or email showing a specific public refund statement can still be relevant evidence of what was represented to the buyer. Neither proves on its own who currently holds the funds, whether escrow instructions allow release, or that a repayment deadline has passed.
An Indonesian Attorney General legal-information response about an overdue house-build purchase discusses reviewing the agreement, transfer evidence and reason for cancellation before seeking an advance back. It concerns different facts and a housing contract, and is neither a court decision nor a ruling about Pronoia, Villa Jūra or DOMA. The housing-sale provisions in Regulation 12/2021 likewise cannot be imported automatically into a land-lease and construction-contract dispute. Where the parties disagree, locally qualified advice is needed on the actual transaction structure, applicable law, service of notice and agreed dispute forum.
Further reservation-refund questions
What if the seller promised a refund by email but the reservation form is silent?
Keep the complete message, including its sender, date, attachments, unit reference and any acceptance. The sender’s authority and the order in which the email and booking form were agreed may matter. Correspondence can be evidence of the offer made, but its legal effect cannot be assumed without reading the accepted terms. Before paying, seek an express clause or signed addendum that incorporates the promise.
Will transfer fees and FX differences reduce the amount returned?
A promise to refund “in full” does not disclose the net amount that will land in your account. The terms should identify the repayment currency, face amount and who bears sending, intermediary and receiving-bank charges. Currency conversion can produce an exchange-rate difference even when the seller returns the original nominal amount. The actual net receipt cannot be predicted without both the written promise and the payment route.
What if I paid an agent but the final agreement names a different company?
Different names are not proof of wrongdoing: an agent may be authorised to collect the reservation payment. Ask for the authorisation and a receipt explicitly linking the transfer to the correct villa and contracting party. The documents should also name the entity responsible for repayment and, where relevant, who may instruct an escrow holder. Without that chain, the parties may disagree over who actually accepted the booking obligation.
Bali expert view

A smaller booking payment can feel safer than a larger one advertised as refundable. For an exit decision, however, the precision of the promised refund event is often more informative than the size of the deposit. Pronoia describes that event more clearly in its public materials, although the identity of the repayment obligor and the transfer deadline still need written confirmation. Villa Jūra and DOMA publish different parts of the reservation process. Their websites do not establish what additional rights a purchaser may receive in a private agreement. Comparing these offers as if they were identical contractual products would obscure those differences. The useful comparison connects one actual unit, one accepted document, one payment recipient and a defined route for the money to return.
