Closing a Bali property sale
A transaction has several moments that are easy to blend together: agreement of terms, signing, settlement, documentary completion, and handover of keys and access. Good preparation does not promise that they all occur at once. It shows what needs to be ready before each one.
When does closing begin?
Not after everyone is already gathered to sign. It begins when the parties can assemble one coherent version: which asset is being transferred, who participates, which records and amounts exist, what remains open, and who confirms each stage. The earlier that is visible, the lower the risk of arguing at the last moment about things that should have been in the file a week earlier.
The short answer
Build four connected registers: parties and authority; asset and rights; settlement and evidence; handover and access. Then assign a responsible party, document and next confirmation date to every open point. Do not let the word ‘closing’ replace this work.
1. Fix one version of the transaction
At the start of closing, create a short version sheet: asset, parties, date, currency, handover scope, consideration and open terms. If an email, spreadsheet and agreement disagree, do not choose the most convenient version — put the discrepancy out for confirmation.
Check each participant’s role and authority separately. A signatory, viewing contact and payment recipient may be different people. Until that connection is explained in records, it is not a last-hour detail; it is a stop question.
2. Records are needed before the event, not after it
Indonesian regulation covers land rights, strata units and registration; it does not automatically confirm the status of a selected asset. Before closing, keep the particular records beside the transaction so relevant professionals can review the asset, rights structure and applicability to your case.
Badung publishes a BPHTB file-verification procedure that includes transaction-payment evidence and declarations from the parties. This is not a ready list for every case; it expresses a practical principle: when a stage relies on a record, request and reconcile it in advance rather than expecting it after settlement.

3. Settlement runs by line items
Before closing, split price, holdbacks, payments, deposits, arrears, services, parties’ work and possible releases into lines. Every line needs a source, period, currency, purpose, party and closure route. That makes it visible what is actually closed and what has only been discussed.
DJP publishes rules on income tax from transfers of rights to land and/or buildings. Their existence does not answer your amount or allocation. It means a tax question cannot be hidden behind ‘we will sort it out later’: it needs an applicable calculation and confirmation from the relevant professional.

4. Handover is a separate stage
A signed paper or payment does not itself transfer keys, accounts, contacts, instructions, inventory, condition photographs or open reports. Use a separate handover sheet: what transfers, in what form, who is present, what remains open and when the next response is due.
If the asset sits in a scheme, separate matters belonging to seller, manager and common systems. A manager is not required to confirm records they do not hold, and a seller should not stand in for a provider. Clear responsibility boundaries make handover calmer for both sides.
5. When a pause is more sensible
Pause and request clarification if the asset is described differently in key records, the signatory’s or payment recipient’s role is unclear, currency or version date changes, a material settlement line has no source, or access handover is deferred to an undefined ‘later’. A pause does not mean rejecting a deal; it turns ambiguity into a specific question.
Instead of asking a professional ‘is everything fine?’, ask precisely: which record supports this stage; through which date is it current; what does it mean for the selected asset; which action remains; who owns it; and what will evidence completion. Such questions usually reduce chaos more than another call without an agenda.
Decision steps
- Assemble the transaction version
Reconcile asset, parties, consideration, currency, date and open terms on one sheet.
- Check roles
For each participant, record action, document and authority confirmation.
- Collect evidence
Reconcile asset, settlement and required supporting records before the event.
- Close or mark line items
State period, source, responsible party and resolution route for each line.
- Conduct separate handover
Record keys, access, inventory, photographs and open items on a separate sheet.
