Company formation: parties, roles and records in Bali

People often arrive at company formation with one short sentence: ‘we need a PT in Bali’. It can conceal very different matters — an operating business, future work, a partnership, office leasing or a property conversation. While those matters are mixed together, even a tidy document list creates an illusion of progress. It is more useful to separate purpose, people, activity and supporting records before discussing a process with the appropriate professional.

Where should you start when the company is still only an idea?

Put the starting facts on one page: what is proposed, who is already involved, which decisions are made, which are not, and what real next step depends on the company. Keep separate columns for permission to carry on an activity, the right to work, and the property question. If one line seems to answer all three, unpack it before it becomes a basis for spending or promises to partners.

The short answer

Indonesia’s AHU operates services and regulatory work connected with forming, changing and dissolving a PT; its official guide describes a PT-formation flow involving a notary. The OSS portal belongs to the business-data and licensing layer, including NIB in relevant scenarios. This is not one universal ‘open a company’ step but a set of connected, distinct administrative questions. They do not automatically settle a foreigner’s right to work, a property-acquisition path or the terms of a particular business.

1. First name the work the company is meant to do

Do not begin with a form, capital figure or somebody else’s example. Begin with a plain description of activity: what you expect to supply, provide or organise; what already exists and what is only a hypothesis; whether the team has clients, premises, a partner or only an intention. This is not a legal classification. It is the material a professional needs in order to ask precise questions.

If the starting purpose is phrased as ‘buy through a company’, ‘move through a company’ or ‘work through a company’, add a separate line: what concrete business activity is proposed? That pause does not slow the process; it reduces the risk that one label is used as an answer to several different tasks.

2. See people and roles before discussing shares

Build not an ownership diagram but a working map of people: who has the idea, who makes decisions, who may represent the company, who contributes money, who runs operations and who is only helping with launch. For each role mark whether it is a confirmed fact, an intention or a question. That map makes the professional conversation shorter and more candid.

Do not turn an acquaintance, local partner, employee, named recipient of an email and actual manager into one character merely because everyone is called a ‘partner’ in messages. Roles, duties and records need their own checking. This page does not suggest stand-ins for participants or construct an arrangement toward a desired result.

3. Collect records by purpose, not a ‘just in case’ folder

AHU’s official PT-formation guide shows that the flow contains distinct company-name and company-parameter data, and describes access to the formation process for a notary. That is a reason to prepare questions and starting data, not a reason to guess the sufficiency or sequence of a package for your own case.

Sort what already exists into four groups: identification of people; description of the proposed activity; decisions and authority; and records and contacts that support the first three groups. An empty line on that list is not a failure. It helps you ask early what must be confirmed and who is entitled to confirm it.

4. Legal-entity formation and the licensing layer are not one folder

Official OSS materials present company data and business-licensing actions as a distinct digital layer, where company data and NIB appear in relevant procedures. This is a useful reminder: after the formation question comes the question of what activity is actually stated and which requirements may attach to it.

Do not promise partners, a client or a family that recording a company itself authorises any activity. Conversely, do not use an expected licence as evidence that parties, authority and base records are already settled. When unsure, retain two separate questions and route them to the appropriate source or professional.

5. Do not make a company a substitute for work or property

A company plan may be relevant context for living in Bali, but it gives this editorial team no basis to confirm work, visa, residence, access to an asset or future income. Those questions differ in facts and sources. Keep them alongside one another, but do not glue them into a single ‘relocation strategy’.

If the next real step is a viewing, reservation, lease or property purchase, state it in a separate sentence and do not substitute property due diligence with a story about a future company. Conversely, if the matter is a business role, first record the business purpose and process status; choose housing around confirmed geography and duration.

Decision steps

  1. Record the purpose

Describe the proposed activity and the next real step that depends on it.

  2. Separate roles

Make a map of participants, decisions, authority and open questions without inventing a structure.

  3. Assemble starting records

Sort what exists by people, activity, decisions and supporting records; mark gaps.

  4. Check applicability

Put precise questions to a notary or appropriate professional without demanding a preselected answer.

  5. Keep tracks separate

Keep activity, right to work and property separate; connect them only through confirmed facts.
