Companies and property: what to check in Bali
The phrase “we will do it through a company” sounds like a finished answer, yet it hides several different questions. Who is the party? What may the company do? Which right in the particular plot or unit is being reviewed? Which documents support each point? Putting them in separate folders makes the conversation shorter and safer.
When is this guide useful?
When a property is presented together with an existing or future company, or when the asset is intended to be used in an activity. This is not a structure-creation manual. It is a map of questions to take to an Indonesian notary, land and licensing professional before a deposit.
Short answer
Do not buy the explanation that “the company solves everything”. An NIB and linked licences concern a business and its stated activity; the right in land or a unit and its registration trail are reviewed separately. First establish the parties and intended use, then request precise records for the company and asset, and have their compatibility confirmed under current law and the transaction documents.
Do not merge the company, the asset and the seller’s promise
A single presentation may place a company name, a villa image and the word “investment” next to each other. That does not yet mean the company is the proper party, the asset has the claimed right, or the intended operation is permitted. Put each assertion on a separate line and request a document for that line. This does not slow a transaction; it removes false certainty before money has moved.

A business record is not a land title
The official OSS portal calls the NIB a business identity. It is useful for a business question, but it does not by itself describe who holds the right in a specific asset, what is registered at the address or who may dispose of it. The asset needs its own documentary trail: description of the right, asset identification, party authority and review of the applicable registration track.

Describe the activity in ordinary words
Do not start with a structure label or a stranger’s chat advice. Describe what must actually happen: who signs agreements, who provides the service, where guests or clients are located, who receives payments and who is responsible for the asset. A professional can then compare that model with registration, activity classification and required permissions. The more precise the description, the less room remains for “we will sort it out later.”

Which answers should pause the process
Pause if you are asked not to read documents, promised a “guaranteed legal” structure without explanation, told that a property right is the same as a visa or business registration, or offered a nominee instead of review. Do not replace legal assessment with another attractive phrase. Record the question, do not transfer a deposit before written clarification, and involve an independent Indonesian professional.

Decision steps
- Describe the real model
In one paragraph, record who will live, hold rights, sign, manage and receive money; do not use structure labels in place of actions.
- Separate the parties
Make a table: seller or lessor, future contract party, company, signatory, manager and ultimate payee. Request authority and a document for every line.
- Review the asset separately
Give an independent land professional the address, asset description, available records and draft agreement to review the right, registration trail and party authority.
- Compare activity with records
Ask a licensing professional to compare the actual model with current registration and applicable permissions without assuming the answer in advance.
